Interpretation and Definitions

Definitions

For the purposes of these Terms of Service:

• "Service" refers to the Strandr design software accessible at www.strandr.com and app.strandr.com
• "Company" (referred to as "we", "us", or "our") refers to Strandr LLC
• "You" means the individual or entity accessing or using the Service
• "Account" means your unique account for accessing our Service
• "Subscription" refers to the paid service plan providing full access to Strandr
• "Content" refers to designs, images, or other materials you create using the Service
• "Free Trial" refers to the 7-day trial period before paid subscription begins

Acceptance of Terms

By accessing or using Strandr, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access the Service.

You must be at least 18 years old to use this Service. By using Strandr, you represent that you are at least 18 years of age.

Subscriptions

Subscription Period

Strandr is available with a paid annual subscription of $197 per year. You will be billed annually in advance. Your subscription will automatically renew each year unless you cancel it.

Free Trial

We offer a 7-day free trial for new users. You must provide payment information to start your trial. You will not be charged during the trial period. If you don't cancel before the trial ends, you will be automatically charged the annual subscription fee.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access until that time.

Refunds

We offer a 30-day money-back guarantee. If you're not satisfied within your first 30 days of payment, contact us for a full refund. After 30 days, paid subscription fees are non-refundable.

Refund Processing Fee: For refunds requested outside of the 7-day trial period or outside of your renewal period, a $25 processing fee will be deducted from your refund to cover payment processing costs. This fee does not apply to refunds requested during your 7-day trial or within 24 hours of your renewal date.

Price Changes

We reserve the right to modify subscription fees. We will provide at least 30 days notice before any price increase. Your continued use after the price change constitutes acceptance of the new pricing.

User Accounts

When creating an account, you must provide accurate and complete information. You are responsible for:

• Maintaining the security of your account and password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You may not use another person's name, trademark, or offensive usernames. We reserve the right to refuse or terminate accounts that violate these terms.

Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware or harmful code
• Harass, abuse, or harm others
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose

Content and Intellectual Property

Your Content

You retain ownership of all designs and content you create using Strandr. By using the Service, you grant us a limited license to display your content solely for the purpose of providing the Service to you.

You are responsible for ensuring you have the right to use any images or content you upload. You must not upload content that violates any third party's rights.

Our Intellectual Property

The Strandr Service, including its original content, features, and functionality, is owned by Strandr LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

Privacy and Data Protection

Your use of Strandr is also governed by our Privacy Policy. We are committed to protecting your privacy and complying with applicable data protection laws.

GDPR Compliance (For EU Users)

If you are located in the European Union, you have additional rights under the General Data Protection Regulation (GDPR), including:

• The right to access your personal data
• The right to rectification of inaccurate data
• The right to erasure ("right to be forgotten")

Disclaimers and Limitations

"As Is" Service

Strandr is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by law, Strandr LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims under these terms shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Strandr LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these terms.

Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the Service will cease immediately.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Ohio, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Ohio.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes become effective constitutes acceptance of the revised terms.
